Terms of Service

These Terms are an agreement between you and Zoromi Studio ("Zoromi", "we", "us"), a Maryland company, and govern your use of zoromi.studio and our related apps and services (the "Service"). By creating an account, buying Gems or a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Using the Service

Eligibility: you must be 18 or older to create an account or use the Service. You are responsible for your account and for everything done with it.
Family workshops: accounts must be created and operated by a parent or guardian. Children may contribute ideas only under supervision, and finished work should be delivered to the parent or guardian account.
Prohibited content: infringement, illegal material, explicit sexual content, any sexual or fetish content involving minors (or characters who appear to be minors), graphic or extreme violence or gore, hate/harassment, privacy violations, or improper use of people's likenesses or voices. Our Content Policy also applies.
Content review: to keep the Service safe and lawful, inputs and generated content are screened by automated systems, with human review where needed. Content that violates law, these Terms or a model provider's rules may be blocked or removed.
Enforcement: we may remove content, restrict features, or suspend or close accounts to comply with law, these Terms, our policies or our providers' requirements, or to protect the Service or others.
Changes to the Service: features, models and providers may change, be limited or be discontinued at any time. We do not guarantee that the Service, any feature or any model will be available, uninterrupted or error-free.
Service improvement: we may analyze generation records and failures internally (debugging, quality and safety evaluation) to improve the Service.
Privacy: what information we collect, how we use it and how long we keep it are described in our Privacy Policy.

Protecting the Service

You may not, and may not help or allow anyone else to:

Reverse engineering: copy, modify, reverse engineer, decompile or disassemble the Service, its software or the workflows behind it, or try to work out its source code, except where the law expressly allows this despite this restriction.
Scraping and automated access: access, collect or copy the Service or its content with bots, scripts, crawlers, scrapers or similar automated tools, except general search engines indexing our public pages as our robots.txt allows.
Our prompts and settings: try to extract, reveal or copy the prompts, system instructions, rules, model settings or other internal configuration the Service uses, including with inputs written to make the Service disclose them.
Security testing: probe, scan or test the vulnerability of the Service or its APIs, or get around any security or sign-in measure, without our prior written permission. If you find a security problem, please report it to support@zoromi.studio, and do not access, change or share data that is not yours.
Getting around our limits: get around, disable or interfere with content review, usage or rate limits, prices, Gems balances or payment - for example by opening extra accounts to get past a limit or a suspension, by hiding where you are to get a different price, or by tampering with requests.
Competing products: use the Service to build, market or improve a product or service that competes with it.
Your account is yours: sell, rent, resell or sub-license access to your account, your Gems or the Service, or transfer your account to anyone else.
Disrupting the Service: interfere with, disrupt, overload or harm the Service, its servers or networks, or other people's use of it.
Harmful or false activity: upload malware or harmful code, send spam, create accounts with false information or in bulk, or impersonate any person or Zoromi.
Sanctions and export rules: use the Service in breach of US export-control or sanctions laws, or from a place, or as a person, that those laws bar from receiving it.

If these rules are broken: we may remove content, limit features, or suspend or close the account involved, with or without notice, and we keep every legal remedy available to us, including asking a court to stop the conduct and recovering damages.

Your content and generated output

Definitions: "Your Content" means the text, images, audio, video and other material you upload or submit. "Output" means content generated for you through the Service.
No promise about ownership or use: Output is produced with third-party AI models, and similar or identical output may be generated for others. Zoromi makes no promise, representation or warranty about who owns any Output, whether Your Content or Output is protected by copyright or any other right, whether it is original or unique, whether it infringes anyone's rights, or whether it may be used for any particular purpose, including any commercial purpose. Whether and how Output may be used depends on applicable law, your own contributions and the terms of the third-party model providers involved.
Your responsibility: you alone decide whether and how to use, publish, distribute or sell Your Content and Output, and you are responsible for obtaining every right, license, permission and consent that use requires.
Separate agreements: if you have signed a separate written agreement with Zoromi about a particular work (for example, a commissioned production), that agreement governs that work.
License to Zoromi: you grant Zoromi a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, copy, process, adapt, transmit and display Your Content and Output as needed to provide, maintain, secure and improve the Service, including by sending them to our model and infrastructure providers.
Published works: for any work you publish on the Service (for example in Zoromi Theater) or share publicly through the Service, you also grant Zoromi a worldwide, non-exclusive, royalty-free, sublicensable license to display, distribute and promote it, and to make and use excerpts, thumbnails, trailers and other promotional materials from it, on the Service and elsewhere, including in advertising and on social media. This license lasts while the work stays published or shared. When the work is taken down, at your request or by us, it ends for new viewers and new sales. If a work you published in Zoromi Theater is taken down at your request, people who already bought it can keep watching it. If we remove it because of a valid copyright notice, because it breaks the law, or because it breaks these Terms, Zoromi stops showing it to anyone else, buyers included, and you may not submit it to Zoromi Theater again or share it publicly through Zoromi; if you fix the problem, you can send the fixed version as a new submission, reviewed from the start. In every case you can still watch and download your own work, and edit or remake it with the Zoromi tools you made it with, unless your account is suspended under these Terms. Promotional materials that were already published before the work was taken down may stay where they were published; we make no new ones after that. To have a work you published in Zoromi Theater taken down, write to support@zoromi.studio from your account's e-mail address and name the work; we take it down within 3 to 30 business days. We do not publicly display works you have not published or shared without your explicit consent.
Your promises to us: you represent and warrant that you own or have obtained all rights, licenses, permissions and consents needed for Your Content and for how you use Your Content and Output, including the consent of any real person whose name, image, likeness or voice is used, and that neither violates law, these Terms or anyone's rights.
Third-party model terms: the Service uses AI models and services from third parties. Their terms and policies also apply to Output and to your use of it, and you agree to comply with them. Some require, for example, disclosing that content is AI-generated, keeping watermarks or provenance data, having consent to use a person's likeness or voice, and not using output to train AI models. Zoromi is not responsible for third-party models or providers.
AI labels: do not remove, alter or obscure watermarks, AI-generated labels or provenance data (such as content credentials) in Output. Where law or a model provider requires it, disclose that content is AI-generated, and never present Output as entirely human-made in a way that could mislead.
Voices and likenesses: only clone or recreate a voice that is your own or that you have the speaker's written permission to use, and do not depict a real person without their permission.
No model training: do not use Output or the Service to develop, train or improve AI models.

Gems, purchases, bonuses and refunds

Gems: Gems are prepaid credits for using the service. They have no cash value and cannot be exchanged for money or transferred to another account. Most generations show their Gems price before they run. If a generation fails because of a problem on our side, the Gems charged for it are returned to your balance, automatically in most cases and otherwise through support.
Welcome and promotional Gems: new verified accounts may receive welcome Gems while the offer lasts, and we may offer other promotional Gems. These offers are limited and can end at any time. Welcome Gems and other promotional Gems have no cash value and may expire, as stated when the Gems are offered. Expired promotional Gems are removed from your balance. If a generation paid for with promotional Gems fails after those Gems have expired, they are not returned.
Gems pack purchase bonuses: from time to time, one-time Gems pack purchases may earn bonus Gems; when such an offer is live, it is shown on the Pricing page. Subscriptions do not earn purchase bonuses. A purchase that is later refunded or reversed still counts as one of those purchases. We may change or end this offer, or limit which accounts are eligible, at any time.
Refunds: Gems pack purchases that include a purchase bonus are non-refundable. Bonus Gems are never refundable and have no cash value. If a Gems pack purchase is refunded, or reversed through a chargeback or payment dispute, the Gems from that purchase and all bonus Gems it earned are removed from your balance. For a partial refund, the purchased Gems are removed in proportion to the amount refunded and the bonus Gems are removed in full. While a payment dispute is open, we may restrict your account, and it may stay restricted if the dispute is lost.
Your legal rights: nothing in these terms limits any rights you have under applicable law that cannot be waived or limited by agreement.

Copyright complaints

Notices: if you believe content on the Service infringes your copyright, email support@zoromi.studio or send it to our designated agent below, with: your name and contact details; the work you believe is infringed; the material you want removed and where it appears (for example, its URL); a statement that you believe in good faith the use is not authorized by the owner, its agent or the law; a statement that your notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner; and your physical or electronic signature.

What we do: we may remove or disable the material and notify the person who posted it. If your material was removed, you may send a counter-notice to either of those addresses. We close the accounts of repeat infringers in appropriate circumstances. An account is a repeat infringer once we have received three valid copyright notices about content it posted within a 90-day period; we then stop accepting its submissions and may close it.

Disclaimers and limits of liability

No warranties: the Service, Output and all content are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.
Limits: to the fullest extent permitted by law, Zoromi is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service, Your Content or Output, even if we were told they were possible. Zoromi's total liability for all claims relating to the Service is limited to the greater of the amount you paid Zoromi in the twelve months before the event giving rise to the claim, or fifty US dollars.
Indemnity: you will defend, indemnify and hold harmless Zoromi and its owners, employees and agents against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from Your Content, your use of Output or the Service, or your breach of these Terms, a model provider's terms or the law.
Where the law says otherwise: some places do not allow some of these exclusions or limits. Where that is the case, they apply to the fullest extent the law allows.

General

Governing law: these Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws rules. Disputes will be heard only in the state or federal courts located in Maryland, and you consent to their jurisdiction.
Time limit for claims: any claim relating to the Service must be brought within one year after it arises, where the law allows such a limit; otherwise it is permanently barred.
Changes to these Terms: we may update these Terms. Updates take effect when posted on this page, and we will give notice of material changes where the law requires. If you keep using the Service after an update, you accept the updated Terms.
No duty to monitor: we review content to keep the Service safe, but we have no obligation to check, monitor or keep any content, and we are not responsible for what users create or post.
Feedback: if you send us ideas or feedback, we may use them for any purpose without paying you or owing you anything.
Events beyond our control: we are not responsible for any delay or failure caused by events beyond our reasonable control, including outages or changes at our model, hosting or payment providers.
Whole agreement: these Terms, together with our Privacy Policy, our Content Policy, the terms shown when you buy, and any separate written agreement with Zoromi, are the whole agreement between you and Zoromi about the Service. If any part is unenforceable, the rest still applies. Our not enforcing a term is not a waiver. We may transfer these Terms; you may not transfer them without our written consent.
